面對經濟環境的變遷，以及全球化的競爭，企業往往選擇併購策略來達到快速成長與提升競爭優勢；然而在併購過程中，技術的移轉與整合為併購成敗的重要關鍵。本研究採用個案研究法來進行，以O公司和S公司跨國併購案例為個案研究對象，透過參與觀察法取得個案公司相關資料，及探究併購後技術知識移轉的實務做法。本研究藉由探討過去併購相關文獻，以併購技術知識移轉分析模式理論架構為主，研究個案公司之技術移轉關鍵要素。技術移轉的關鍵要素包含：多國企業、供應鏈整合程度高、第三方客戶支持、一年的過渡服務協議、技術團隊的形成、引入高端技術人才、留住核心員工、有規範的技術轉移流程、技術量產導入、以及技術知識移轉流程可被複製。根據本研究這十個技術移轉的關鍵要素，是一體的且缺一不可，具有密切的關聯性，會直接影響技術移轉的整體績效與成敗。

In the face of the changing economic environment and global competition, companies often choose M&A strategies to attain rapid growth and enhance their competitive advantages. However, in the M&A process, the transfer and integration of technology is an important key to the success or failure of M&A. Taking the cases of cross-border M&A of Company O and Company S as the case study objects, this study adopts a case study approach to obtain relevant data from the case companies through participant observation and to explore the practical practices of technology knowledge transfer after the merger and acquisition. This study examines the key elements of technology transfer in the case companies by examining the literature related to past mergers and acquisitions as well as by focusing on the theoretical framework of the M&A technology knowledge transfer analysis model. The key elements of technology transfer include: multinational companies, high degree of supply chain integration, support from third-party customer, one-year transition service agreements, formation of technology teams, introduction of top technology talent, retention of core employees, standardized technology transfer process, mass production introduction, and replicable technology knowledge transfer process. According to this study, these ten key elements of technology transfer are seen as one and inseparable, with each element closely related to another, which will directly affect the overall performance and success or failure of technology transfer.
